Terms and Conditions for the Supply of Services

All quotations are estimated, as service / maintenance duration can vary according to equipment condition and specific usage. Should additional days be required, this would be charged at the standard rate per day plus travel time & expenses.

Spare Parts

Spare parts are not included in this quotation and will be charged additionally, unless listed in the quotation.

Travel Expenses

Travel Expenses are estimated and can vary for various reasons such as short-notice or peak-time reservations.

Preventive Maintenance Visits (PM's)

Any PM's quoted to customer are based on the customer's tool being in good working condition. Any repair work or parts required to complete the PM and ensure the tool is operational will be billed additionally. The quoted amount of time is required to complete the PM. If any issues with the tool arise during that time or if there are any issues upon engineer's arrival at customer site, seller's  engineer will inform the customer. At this point and subject to the customer's written agreement, seller's engineer will complete the repair (if possible). If the PM cannot be completed in the estimated amount of time quoted due to these issue(s), additional time will be required and will be billed to the customer accordingly, along with any parts needed and additional travel expenses. If the issue is caused by seller's engineer and is deemed to be seller's responsibility to repair, the additional time will be seller's responsibility.

Equipment Upgrades

Any equipment upgrades quoted to customer are based on the customer's tool being in good working condition. Any repair work or parts required to complete the upgrade and ensure the tool is operational will be billed additionally. If any issues with the tool arise during the time quoted, or if there are any issues upon engineer's arrival at customer site, seller's  engineer will inform the customer. At this point and subject to the customer's written agreement, seller's engineer will complete the repair (if possible). If the upgrade cannot be completed in the estimated amount of time quoted due to these issue(s), additional time will be required and will be billed to the customer accordingly, along with any parts needed and additional travel expenses. If the issue is caused by seller's engineer and is deemed to be seller's responsibility to repair, the additional time will be seller's responsibility.

Payment Terms

Full payment is due within 30 days from date of invoice, unless otherwise stated in the quote. Late payment can result in any future service work or parts being invoiced upfront. If full payment of invoice is not received within 5 business days from date of invoice issuance or due date, whichever is due later, seller reserves the right to cancel the Purchase Order with no penalty.

Cancellations or Delays

Should the customer choose to cancel or delay any visit or work, cancellations fees may apply. Any expense incurred as a result of preparation for visit or work shall be charged to customer. The seller is not responsible for any delays arising from any failure by the customer to provide the goods, services or facilities on time or to have the installation site complete and ready before the start of the installation or start of service. The customer will be billed the daily rates for any delays waiting on goods, personnel, or facilities that are the responsibility of the buyer. If full payment of invoice is not received within 5 business days from date of invoice issuance or due date, whichever is due later, seller reserves the right to cancel the Purchase Order with no penalty.

Force Majeure

Seller shall not be liable for any delay in its performance obligations due to (a) fires, floods, strikes, or other labor disputes, accidents to machinery, acts of sabotage, riots, precedence or priorities granted at the request or for the benefit, directly or indirectly, of the federal or any state government or any subdivision or agency thereof, delays in transportation facilities, restrictions imposed by federal or state legislation or rules or regulations there under; or (b) any cause beyond its reasonable control, acts of god.

Facilities

Customer is responsible for providing clean stable power and a power conditioner (isolation transformer) to the system. If the system has problems due to bad incoming power, then it is the responsibility of the customer to pay for all repairs.

 

Finally, issuance of a purchase order and/or the purchase of goods or services from our company constitutes acceptance of these terms and conditions. No other terms and conditions on any documentation from the buyer will be valid.
